100% Foreign Ownership
Most sectors now allow 100% foreign ownership under MISA's Positive List. Strategic sectors (defense, oil & gas, hajj/umrah, certain media) remain restricted or require a Saudi partner.
Minimum Share Capital by License
License Types
- Service License: consulting, professional services, IT
- Trading License: import, distribution, retail
- Industrial License: manufacturing, processing, extraction
- Branch License: extension of a foreign parent company
- RHQ License: regional headquarters for multinationals
- Tech License: R&D, software, digital products (often expedited)
MISA Application Requirements
- Audited financials from parent company (last 2 years)
- Board resolution authorizing KSA operations
- Certified Articles of Association / Bylaws
- Business plan / project proposal (required for service licenses)
- Proof of Good Standing from home country authority
- Power of Attorney for in-Kingdom representative
Key Processing Timeline
MISA investment license: 5-15 business days if documentation is complete. CR (Commercial Registration) via MHRSD: 3-7 days. Full operational setup including portals: 4-8 weeks total.
